Introduction

These Terms and Conditions (hereinafter referred to as "T&C") constitute a legally binding agreement between Permute IT Pvt Ltd. , hereinafter referred to as the "Company," and the client or user of our services (hereinafter referred to as the "Client").

Services

1. The Company agrees to provide web development services to the Client as outlined in the project proposal or statement of work.
2. The Client agrees to provide all necessary information, content, and approvals required for the project in a timely manner.
3. Any additional services or changes to the project scope may require a change in project timeline and additional fees, subject to mutual agreement.

Payment

1. Payment terms, including the project's total cost, payment schedule, and invoicing details, are outlined in the project proposal or contract.
2. The Client is responsible for making payments as per the agreed-upon schedule.

Intellectual Property

1. All intellectual property, including code, designs, and other deliverables, created by the Company shall remain the property of the Company until full payment is received.
2. Upon full payment, the Client will be granted a non-exclusive license to use the project deliverables.

Confidentiality

The Company and the Client agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the project.

Warranties and Liability

1. The Company provides no warranties or guarantees regarding the performance or success of the project, and any implied warranties are disclaimed to the fullest extent allowed by law.
2. The Company's liability is limited to the total project cost, and under no circumstances shall the Company be liable for any consequential, indirect, or special damages.

Termination

1. Either party may terminate the project or contract in writing for cause if the other party breaches these T&C.
2. Termination for convenience may result in additional fees or costs, subject to mutual agreement.

Force Majeure

The Company shall not be liable for any delay or failure to perform its obligations due to events beyond its reasonable control, such as natural disasters, strikes, or government actions.

Governing Law

These T&C are governed by the laws of [Your Jurisdiction], and any disputes shall be resolved through arbitration or the courts of [Your Jurisdiction].

Amendments

These T&C may be amended by the Company at any time. The Client will be notified of any changes in advance.

Entire Agreement
